If the merger is completed, holders of First M&amp;F's common stock will receive </font><font style="font-family:inherit;font-size:9pt;color:#000000;text-decoration:none;">0.6425</font><font style="font-family:inherit;font-size:9pt;"> of a share of Renasant common stock in exchange for each share of First M&amp;F common stock held immediately prior to the merger, subject to the payment of cash in lieu of fractional shares. Consummation of the merger is contingent upon regulatory and both First M&amp;F and Renasant shareholder approval and other closing conditions.
