On July 11, 2005, Melvin Lazar resigned as a member of the Board of Directors of CECO Environmental Corp. (the "Company"), effective July 11, 2005.   Mr. Lazar served as Chairman of the Audit Committee. The resignation was not a result of a disagreement between the Company and Mr. Lazar. Ronald E. Krieg, who was serving as Vice Chairman of the Audit Committee, will now serve as Chairman of the Audit Committee.
