On February 13, 2008, the Company issued a news release that the Company's Board of Directors had declared a cash dividend of $0.15 per share on its common stock. Such dividend shall be payable on March 3, 2008 to stockholders of record as of the close of business on February 25, 2008. A copy of the news release is attached hereto as Exhibit 99.1.

KLA-TENCOR DECLARES REGULAR CASH DIVIDEND FOR

THIRD QUARTER FISCAL YEAR 2008

SAN JOSE, Calif., February 13, 2008--KLA-Tencor Corporation (NASDAQ: KLAC) today announced that its Board of Directors has declared a quarterly cash dividend of $0.15 per share on its common stock payable on March 3, 2008 to KLA-Tencor stockholders of record on February 25, 2008.
