Item 5.03.Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On March 31, 2008, the Board of Directors (the “Board”) of Mandalay Media, Inc. (the “Company”) approved a change in the Company’s fiscal year end from December 31 to March 31.

As previously disclosed on a Current Report on Form 8-K, filed with the Securities and Exchange Commission on February 12, 2008, Twistbox Entertainment, Inc. (“Twistbox”) became the Company’s wholly-owned and sole operating subsidiary on February 12, 2008. As a result, the Board determined to change the Company’s fiscal year end in order to conform to the fiscal year end of Twistbox. The Company plans to file a transition report on Form 10-KSB for the period from January 1, 2008 through March 31, 2008.
