This Tender Offer Statement on Schedule TO (this “Statement”) relates solely to preliminary communications made before the commencement of a planned tender offer by WhiteHawk Merger Sub, Inc. (“Merger Sub”), a wholly-owned subsidiary of WhiteHawk Acquisition, Inc. (“Parent”), a wholly-owned subsidiary of WhiteHawk Income Corporation (“WhiteHawk,” and together with Merger Sub and Parent, the “WhiteHawk Parties”), for all of the outstanding common stock of PHX Minerals Inc. (the “Company” or “PHX”), to be commenced pursuant to the Agreement and Plan of Merger, dated as of May 8, 2025, among Merger Sub, Parent, and the Company.
