Item 7.01               Regulation FD Disclosure.

                On November 19, 2007, US Gold Corporation (the “Company”) issued a press release regarding Ann Carpenter’s intent to separate from the Company. Ms. Carpenter served as the Company’s President, Chief Operating Officer and director.  A copy of the press release is attached to this report as Exhibit 99.1.
