Item 5.02 Departure of Directors or Principal Officers; Election of Directors;
Appointment of Principal Officers.

On January 14, 2005, the Board of Directors of U.S. Gold Corporation (the
"Corporation") received and accepted the resignation of Mr. Curtis Deane as a
director of the Corporation. The Board of Directors may not immediately fill the
vacancy created by the resignation of Mr. Deane.
