This Amendment No. 2 (this “Amendment No. 2”) amends and supplements the Tender Offer Statement on Schedule TO, dated September 21, 2004 and amended on September 22, 2004 (“Schedule TO”), relating to an offer by Echelon Corporation, a Delaware corporation (“Echelon” or the “Company”), to exchange (the “Exchange Offer”) options to purchase an aggregate of 7,908,347 shares of the Company’s common stock, whether vested or unvested, that have been granted under its 1997 Stock Plan (the “Eligible Options”) and that are held by eligible employees. These Eligible Options may be exchanged for new options that will be granted under the Company’s 1997 Stock Plan (the “New Options”), upon the terms and subject to the conditions set forth in (i) the Offer to Exchange Certain Outstanding Options for New Options, dated September 21, 2004 (the “Offer to Exchange”), (ii) the related letter from Ken Oshman dated September 21, 2004; (iii) the Election Form; and (iv) the Withdrawal Form. These documents, as they may be amended or supplemented from time to time, together constitute the “Disclosure Documents” and are attached to the Schedule TO as Exhibits (a)(1)(a) through (a)(1)(d), respectively. An “eligible employee” refers to all persons who are employees of Echelon or one of its subsidiaries and remain employees through the date on which the New Options are granted. The Company’s Chairman of the Board and Chief Executive Officer, President and Chief Operating Officer, Executive Vice President and Chief Financial Officer, and the non-employee members of the Company’s Board of Directors are ineligible to participate in the Exchange Offer.

 

This Amendment No. 2 reflects amendments which were made to pages 10, 11, 50, 54 and 61 of the Offer to Exchange attached to the Schedule TO as Exhibit (a)(1)(a); page 5 of the Election Form attached to the Schedule TO as Exhibit (a)(1)(c); and the first paragraph of the Form of Confirmation E-mail to Employees who Elect to Participate in the Stock Option Exchange Program attached to the Schedule TO as Exhibit (a)(1)(h). The amendments are described below.

 

Question 16 on page 10 and Question 20 on page 11 of the Summary Term Sheet of the Offer to Exchange are hereby revised to reflect that the Company will deliver to all eligible employees whose tendered options are accepted for exchange a written promise to grant stock options promptly after the expiration date.

 

The following language is hereby added in Section 7 (Conditions of the offer) of the Offer to Exchange at the end of the seventh bullet on page 50 to clarify certain circumstances under which the Company would be permitted to terminate or amend the offer: “which have resulted or might result, in our reasonable judgment, in the restraint, prohibition or delayed completion of the offer, or which have resulted or may result, in our reasonable judgment, in a material impairment of the contemplated benefits of the offer to us (see Section 3 of this offer to exchange for a description of the contemplated benefits of the offer to us).”

 

The third sentence of the last paragraph on page 54 in Section 9 (Source and amount of consideration; terms of the new options) of the Offer to Exchange, which is hereby modified to clarify the Company’s rationale for determining the new option grant price for eligible executive officers who participate in the offer, shall read as follows: “However, because Echelon believes that holding its executive officers to a higher standard of performance best aligns employee and stockholder interests with respect to creation of stockholder value, the exercise price of the new options granted to our executive officers will be the higher of (1) the closing price of the common stock on the new option grant date or (2) 115% of the closing price of our common stock on the cancellation date (expected to be October 21, 2004).”

 

In the first sentence of the last paragraph on page 61 in Section 14 (Material U.S. federal income tax consequences) of the Offer to Exchange, the words “general summary” are hereby deleted and replaced with the word “discussion.”

The information in the Disclosure Documents, including all schedules and annexes to the Disclosure Documents, is incorporated by reference in answer to the items required in the Schedule TO.

 

This Amendment No. 2 is filed in satisfaction of the reporting requirements of Rule 13e-4(c)(1) promulgated under the Securities Exchange Act of 1934, as amended.

 

Item 12. Exhibits.

 

Subsection B(6) on page 5 of the Election Form attached to the Schedule TO as Exhibit (a)(1)(c), which required option holders to acknowledge that no claim or entitlement to compensation or damages arose from the termination of the exchanged options or diminution in value of the new options or the underlying shares, is hereby deleted.

 

The first paragraph of the Form of Confirmation E-mail to Employees who Elect to Participate in the Stock Option Exchange Program attached to the Schedule TO as Exhibit (a)(1)(h) is hereby amended to read as follows: “Echelon Corporation has received your election form [dated             , 2004], by which you have elected to have some or all of your outstanding eligible options and all of your outstanding options granted to you on or after March 20, 2004 cancelled in exchange for new options to be granted at least six months and one day later, subject to the terms and conditions of the offer.”
