If a Knock-Out Event has occurred, you will receive a cash payment on the maturity date that will reflect the performance of the Index. Under these circumstances, your payment at maturity per $1,000 principal amount Note will be calculated as follows:

You may lose some or all of your principal if you invest in the Notes. If a Knock-Out Event occurs, your Notes will be fully exposed to any declines in the Index and you may lose some or all of your investment at maturity.

 

If a Knock-Out Event has not occurred, you will receive a cash payment on the maturity date that will reflect the performance of the Index, subject to the Contingent Minimum Return.  Under these circumstances, your payment at maturity per $1,000 principal amount Note will equal $1,000 plus the product of (a) $1,000 multiplied by (b) the greater of (i) the Index Return, and (ii) the Contingent Minimum Return, calculated as follows:.

Hypothetical Examples of Amounts Payable at Maturity

 

The following examples illustrate how the total returns set forth in the table above are calculated.

 

Example 1: A Knock-Out Event has not occurred, and the closing level of the Index decreases from the Initial Level of 1,216.01 to a Final Level of 1,155.21, resulting in an Index Return of -5.00%Because a Knock-Out Event has not occurred and the Index Return is less than the Contingent Minimum Return of 0%, the investor benefits from the Contingent Minimum Return and receives a payment at maturity of $1,000.00 per $1,000 principal amount Note calculated as follows.

 

$1,000 + ($1,000 × 0%) = $1,000.00

 

Example 2: A Knock-Out Event has not occurred, and the closing level of the Index increases from the Initial Level of 1,216.01 to a Final Level of 1,276.81, resulting in an Index Return of 5.00%. Because a Knock-Out Event has not occurred the Index Return is greater than the Contingent Minimum Return of 0%, the investor receives a payment at maturity of $1,050.00 per $1,000 principal amount Note, calculated as follows:

·                  Market Disruption Events and Adjustments—The final valuation date, maturity date, payment at maturity and the Index are subject to adjustment as described in the following sections of the prospectus supplement:

If the Final Level has declined, as compared to the Initial Level, by more than the Knock-Out Buffer Amount of 21.00%, a Knock-Out Event will have occurred, and the protection provided by the Contingent Minimum Return will terminate.  IF A KNOCK-OUT EVENT OCCURS, YOUR INVESTMENT WILL BE FULLY EXPOSED TO ANY DECLINE IN THE FINAL LEVEL AS COMPARED TO THE INITIAL LEVEL AND YOU MAY LOSE UP TO 100% OF YOUR INVESTMENT.

·                  No Interest or Dividend Payments or Voting Rights—As a holder of the Notes, you will not receive interest payments, and you will not have voting rights or rights to receive cash dividends or other distributions or other rights that holders of securities composing the Index would have.
