Item 1.01 Entry into a Definitive Material Agreement

On April 29, 2013, Vicon Industries, Inc. (the “Company”) entered into a Contract of Sale Agreement (the “Agreement”) with 1290 Motor Parkway LLC (the “Seller”) and closed on the purchase of a principal administrative and operating facility located at 131 Heartland Boulevard, Edgewood (Brentwood), New York, for a cash purchase price of $3,300,000.

The foregoing description of the Agreement is qualified in its entirety by reference to the Contract of Sale Agreement, a copy of which is attached hereto as Exhibit 10.1 and is incorporated herein by reference.

The Registrant announced the execution of the Agreement, among other things, in a press release dated May 2, 2013, a copy of which is attached hereto as Exhibit 99.1.

The information set forth in Item 1.01 herein is incorporated into this Item 2.01 by reference.

Item 2.02 Results of Operations and Financial Condition

On May 2, 2013, the Registrant issued a press release announcing its financial results for its quarter ended March 31, 2013, among other things. A copy of the press release is attached hereto as Exhibit 99.1.
