On July 31, 2007, Leslie Hill, a member of the Company’s Board of Directors and of its Corporate Governance Committee, submitted her resignation from the Board effective immediately.  A copy of Ms. Hill’s resignation letter, which details her reasons for resigning, is furnished herewith as Exhibit 99.1.
