                                EXPLANATORY NOTE

         The purpose of this  amendment is to correct a  typographical  error in
the date  June 25,  2005  that  appeared  in the last  sentence  of Item 5.03 as
previously filed.

ITEM 5.03    AMENDMENTS TO ARTICLES OF INCORPORATION OR BYLAWS; CHANGE IN
             FISCAL YEAR.

         On December 21, 2005, the Company, by action of its Board of Directors,
changed the Company's  fiscal year from one ending on the last Friday of June to
one ending on December 31, and its fiscal  quarters from quarters  ending on the
last Friday of each calendar  quarter to quarters ending on the last day of each
calendar  quarter.  A Report on Form 10-K will be filed  covering the transition
period from June 25, 2005 through December 31, 2005.
