Item 8.01 Other Events.

In connection with the previously disclosed SEC investigation, Bancinsurance Corporation (the "Company") submitted a claim under its director & officer liability insurance policy (the "Policy") for reimbursement of certain expenses incurred by the Company related to the SEC investigation. The Policy provided coverage up to a $1,000,000 aggregate limit of liability subject to a $100,000 retention. The Company incurred in excess of $1,000,000 of expenses related to the SEC investigation. The Company and the insurance carrier disagreed with respect to the scope of coverage under the Policy. On July 13, 2010, the Company and the insurance carrier resolved their disagreement and the insurance carrier agreed to pay $700,000 to the Company in respect of its claim. As a result of the settlement, the Company will record a gain of $700,000 ($462,000 after tax) during the third quarter of 2010.
