Item 8.01 Other Events.

On November 13, 2009, the Board of Directors of Bancinsurance Corporation (the "Company") declared a cash dividend of $0.50 per share payable on December 14, 2009 to holders of record of the Company’s common shares as of the close of business on November 30, 2009.

A copy of the press release announcing the dividend is attached to this Current Report on Form 8-K as Exhibit 99.1.
