Item 3.02. Unregistered Sales of Equity Securities
On Monday, October 30, 2006 Crawford & Company (the “Company”) issued 842,815 shares of its Class A common stock in connection with the Company’s acquisition of e-Triage.com, Inc. The stock was issued to two former owners of e-Triage and a financial intermediary involved in the acquisition pursuant to exemptions from registration contained in Section 4(2) of the Securities Act of 1933, as amended, as a transaction not involving a public offering.
