Item 5.02Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On February 18, 2021, Constance K. Weaver, a member of the Board of Directors (the “Board”) of Citizens, Inc. (the “Company”), informed the Company of her decision not to stand for re-election as a director of the Company and will retire from the Board effective as of the 2021 Annual Meeting of Shareholders on June 1, 2021 (the “Annual Meeting”). In addition to serving as a member of the Board, Ms. Weaver is the Chief Marketing Officer of Equitable, the brand name of the retirement and protection subsidiaries of Equitable Holdings, Inc. Ms. Weaver decided to not stand for re-election in order to increase her focus on growing the Equitable brand. Ms. Weaver’s decision not to stand for re-election is not due to any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.

The Board and management team thanks Ms. Weaver for her years of service and the guidance she has provided during her tenure.
