        <footnote id="F1">Reflects distribution of shares to beneficiaries of the Credit Shelter Trust (&quot;Shelter Trust&quot;) pursuant to the trust agreement dated December 15, 1997, as revised, amended and restated May 20, 2002, as amended December 7, 2004 and as further amended January 23, 2008 (the &quot;Trust Agreement&quot;).  All shares had been transferred from the Robert L. Voges Revocable Trust of 1997 to the Shelter Trust pursuant to the Trust Agreement, and the reporting person served as trustee of each trust at the time of transfer, disclaiming beneficial ownership except to the extent of his pecuniary interest in the shares.  Following the distribution the reporting person continued to be an indirect beneficial owner of 120 shares that were distributed to the William J. Voges Revocable Trust; the reporting person has no beneficial interest in the other 480 shares that were distributed by the Shelter Trust.</footnote>
