Said grant was approved by the Board of directors of the Issuer on September 17, 2003, subject to approval by a majority of the stockholders of the Issuer of an amendment to the Issuer's existing stock option plan, which approval was obtained on September 19, 2003.  The grant was issued on November 20, 2003, the date when the aforementioned amendment to the
stock option plan became effective in accordance with Regulation 14C of the Securities Exchange Act of 1934, and was effective as of September 19, 2003 (the &quot;Grant Date&quot;).  The options shall become exercisable in increments of one-third of the total grant as of each anniversary of the Grant Date.</footnote>
