On June 25, 2009, pursuant to automatic conversion provisions contained in the Issuer's Certificate of Designation of Series B-1 Convertible Preferred Stock, all of the Reporting Person's holdings of the Issuer's Series B-1 Convertible Preferred Stock were converted into 244 shares of the Issuer's Series C Convertible Preferred Stock, which number had been fixed by prior agreement.
