This Amendment No. 2 amends Items 4 and 7 as set forth below. Capitalized terms used herein and not otherwise defined in this Amendment No. 2 have the meanings set forth in the Schedule 13D. Item 4 is hereby amended and supplemented as follows: On September 17, 2026, the Issuer and GreenWood entered into a first amendment to the Cooperation Agreement (the "First Amendment"), which, among other things, extended the term of the Cooperation Agreement for an additional one-year period. Pursuant to the First Amendment, in the event the Board seeks to add a new director, the Issuer has agreed to consult with GreenWood in good faith regarding such prospective director prior to his or her appointment or nomination. Further, the Issuer is required to use its best efforts to hold an investor event no later than June 30, 2027 (the "Investor Day"), and shall consult with GreenWood regarding the scheduling, agenda and materials used in connection with such Investor Day.
