Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(d)    On September 10, 2025, Graybar Electric Company, Inc., (the “Company”) announced that its Board of Directors had elected Brian P. Delaney as a director. 

Mr. Delaney serves as Senior Vice President – West Region and Subsidiaries of the Company. He will serve on the Audit Committee of the Board.

A copy of the September 11, 2025 press release announcing Mr. Delaney’s election is attached hereto as Exhibit 99.
