Item 7.01. Regulation FD Disclosure.

As previously announced, on November 7, 2025, Cantor Equity Partners III, Inc., a Cayman Islands exempted company (“CAEP”), AIR Limited, a private limited company incorporated under the laws of Jersey (the “Company”), AIR Holdings Limited, a private limited company incorporated under the laws of Jersey (“Pubco”), Genesis Cayman Merger Sub Limited, a Cayman Islands exempted company, and Genesis Jersey Merger Sub Limited, a private limited company incorporated under the laws of Jersey, entered into a business combination agreement (the “Business Combination Agreement”) with respect to a proposed business combination among the parties in accordance with the Business Combination Agreement (the “Business Combination” and, together with the other transactions contemplated by the Business Combination Agreement and the Ancillary Agreements, the “Transactions”). Capitalized terms used in this Current Report on Form 8-K (this “Report”) but not otherwise defined herein have the meanings given to them in the Business Combination Agreement.

 

Furnished as Exhibit 99.1 hereto and incorporated by reference is an updated investor presentation that CAEP and the Company have prepared for use in connection with the Business Combination.
