Newsmax Inc. (the “Company”) is working diligently and plans to file its Quarterly Report on Form 10-Q for the three months ended June 30, 2025 (the “Quarterly Report”) as soon as possible, but no later than the fifth calendar day following the prescribed due date. The Company has determined that it is unable, without unreasonable effort, to file its Quarterly Report within the prescribed time period, as the Company requires additional time to complete procedures relating to the Company’s financial reporting process for the quarter ended June 30, 2025.
