1.01 Entry into a Material Definitive Agreement

Michael Wellesley-Wesley, President and CEO, receives a housing allowance of $2,500 per month. This allowance is set to expire March 31, 2007. In lieu of renewing this housing allowance, on February 21, 2007 the Compensation Committee of the Board of Directors resolved to increase his annual base salary, effective April 1, 2007, by $30,000. The Compensation Committee also resolved to increase the Pounds Sterling denominated portion of Mr. Wellesley-Wesley's annual base salary from GBP 197,899 to GBP 207,794 effective April 1, 2007.
