        <commentText>This Amendment No. 1 ("Amendment No. 1") amends and supplements the statement on Schedule 13D (the "Schedule 13D") relating to the shares of Common Stock, par value $0.01 per share (the "Common Stock"), of Veris Residential, Inc., a Maryland corporation (the "Issuer").  This Amendment No. 1 amends and restates Item 5 as set forth below.  Capitalized terms used herein and not otherwise defined in this Amendment No. 1 have the meanings set forth in the Schedule 13D.</commentText>

        <filingPersonName>See rows (11) and (13) of the cover pages to this Schedule 13D for the aggregate number of shares of Common Stock and percentage of shares of Common Stock beneficially owned by the Reporting Persons. The aggregate percentage of shares of Common Stock reported beneficially owned by the Reporting Persons is based upon  93,458,338 shares of Common Stock outstanding as of February 22, 2026, as disclosed in the Agreement and Plan of Merger among Veris Residential, Inc., Veris Residential, L.P., AC Residential Acquisition LP, AC Residential REIT LLC, and AC Residential OP LP, dated as of February 23, 2026, filed as Exhibit 2.1 to the Issuer's Periodic Report on Form 8-K with the SEC on February 23, 2026.

As of the close of business on the date hereof, the Erez Reporting Persons may be deemed to beneficially own 3,543,737 shares of Common Stock, representing approximately 3.79% of the shares of Common Stock outstanding.  As of the close of business on the date hereof, Mr. Gubin does not beneficially own any shares of Common Stock.

All shares of Common Stock beneficially owned by Mr. Gubin were sold on February 23, 2026. Therefore, Mr. Gubin and the Erez Reporting Persons are no longer deemed to be a "group" within the meaning of Section 13(d)(3) of the Act.</filingPersonName>
