It does not engage in direct business operations. Mr. Ku, the chairman of the board of directors of the Issuer, with its principal executive office located at 503 Park Tower, 15 Austin Road, Tsim Sha Tsui, Kowloon, Hong Kong. During the past five years, neither (1) I Sparks Enterprise Limited nor any of its officers or directors, nor (2) Mr. Ku has been convicted in a criminal proceeding (excluding traffic violations and similar misdemeanors).
