SKK Holdings Limited (the “Registrant”) is filing this Amendment No. 1 to its registration statement on From 8-A originally filed with the Securities and Exchange Commission (the “Commission”) on October 7, 2024 to correct the link to the Registrant’s Registration Statement on January 29, 2024, as amended.

The description of ordinary shares, par value $0.00025 per share, of the Registrant to be registered hereunder is set forth under the heading “Description of Share Capital” in the Registrant’s Registration Statement on Form F-1 (File No. 333-276744) originally filed with the Commission on January 29, 2024, as amended by any amendments to such Registration Statement and by any prospectus subsequently filed pursuant to Rule 424(b) under the Securities Act of 1933, as amended, which information is incorporated herein by reference.

The Ordinary Shares to be registered hereby have been approved for listing under the Nasdaq Stock Market symbol “SKK.”
