The securities to be registered hereby are the Class A ordinary shares of Zhibao Technology Inc., a Cayman Islands exempted company (the “Company”). The description of the Class A ordinary shares contained in the section entitled “Description of Share Capital” in the prospectus included in the Company’s Registration Statement on Form F-1 (File No. 333-274431) filed with the U.S. Securities and Exchange Commission on September 8, 2023, as amended from time to time (the “Registration Statement”), to which this Form 8-A relates, is incorporated herein by reference.
