Explanatory Note

This Amendment No. 1 to Form 8-A is being filed by the registrant for the purpose of amending and supplementing the description of the registrant’s securities contained in the cover page of the Form 8-A filed by the registrant with the Securities and Exchange Commission (the “SEC”) on March 19, 2024, to add the par value per ordinary share.

(the “Registrant”) to be registered hereunder is contained in the section entitled “Description of Share Capital” in the Registration Statement on Form F-1 (Registration No. 333-270499) initially filed with the Securities and Exchange Commission on March 13, 2023, as amended from time to time (the “Registration Statement”). This information is incorporated herein by reference. Any form of prospectus or prospectus supplement to the Registration Statement that includes such descriptions and that are filed subsequently to the Registration Statement are hereby also incorporated by reference herein.
