Item 3.02.
Unregistered Sale of Equity Securities.
 
On September 1, 2023, Kennedy Lewis Capital Company (the “Company”) sold 14,829 unregistered shares of the Company’s common shares of beneficial interest, par value $0.01 per share (the “Common Shares”) (with the final number of Common Shares issued being determined on September 29, 2023) pursuant to subscription agreements entered into with participating investors for aggregate consideration of $298,500.
 
The Common Shares were sold in a private placement in the United States under the exemption provided by Section 4(a)(2) of the Securities Act of 1933, as amended, and Regulation D promulgated thereunder (the “Private Offering”).

Net Asset Value
 
As of August 31, 2023, the net asset value per share of the Common Shares was $20.13.
 
As of August 31, 2023, the Company’s aggregate net asset value was $216,504,310 and the fair value of the Company’s investment portfolio was $303,804,517.
 
Status of Private Offering

The following table lists the Common Shares issued and total consideration for the Private Offering as of the date of this filing. The Company intends to continue selling Common Shares in the Private Offering on a monthly basis.
