This amount is based upon the offer to purchase up to 2,634,479 common units of beneficial interest of Fidelity Private Credit Company LLC. The fee of $3,950.71 was paid in connection with the filing of the Schedule TO-I by Fidelity Private Credit Company LLC (File No. 005-94110) on August 28, 2024 (the “Schedule TO”). This is the final amendment to the Schedule TO and is being filed to report the results of the offer.
