Item 8.01. Other Events.

 

On August 16, 2023, Murphy Canyon Acquisition Corp. (the “Company”) issued a press release announcing that it has scheduled a special meeting of its stockholders for September 7, 2023 at 10:00 a.m., Eastern time, to approve the previously announced business combination (the “Business Combination”) with Conduit Pharmaceuticals Limited (“Conduit”), that the Company’s proxy statement/registration statement on Form S-4 filed with the Securities and Exchange Commission (“SEC”) on May 12, 2023, as amended (the “Registration Statement”), was declared effective by the SEC on August 11, 2023 and that the Company has commenced mailing the proxy statement and prospectus to its stockholders of record as of the close of business on August 2, 2023.

 

A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K and incorporated herein by reference.

In connection with the transactions described herein, Murphy Canyon filed the Registration Statement that includes a proxy statement with respect to the stockholder meeting of Murphy Canyon and a prospectus with respect to securities of the combined company.
