Item 1.01. Entry into Material Definitive Agreement.

      On January 31, 2008, the Vermont Public Service Board ("PSB") issued its Order approving the Memorandum of Understanding between the Department of Public Service and the Company regarding the Company's pending rate case.  The Memorandum of Understanding was previously filed on November 29, 2007 as Exhibit 10.96. The Company issued a news release highlighting the key points of the Order, which is attached hereto and incorporated herein by reference as Exhibit 99.1. The PSB Order dated January 31, 2008 is attached hereto and incorporated herein by reference as Exhibit 99.2.
