EXPLANATORY NOTE

On October 20, 2023, Iris Energy Limited (the “Company”) will distribute a notice (the “Notice of Meeting and Explanatory Statement”) of its 2023 Annual General Meeting (the “2023 AGM”), a notice and access card and a proxy card to its shareholders. The 2023 AGM will be held on November 29, 2023 at 3:30 p.m. (ET) (November 30, 2023 at 7:30 a.m. (AEDT)), virtually.

The Notice of Meeting and Explanatory Statement for the 2023 AGM, the notice and access card, the proxy card and the Company’s Consolidated Annual Report for the year ended June 30, 2023, dated September 13, 2023, prepared in accordance with the Australian Corporations Act 2001 (Cth), as lodged with the Australian Securities and Investments Commission on October 5, 2023 (AEST) (the “2023 Australian Annual Report”) are furnished herewith as Exhibits 99.1, 99.2, 99.3 and 99.4, respectively, to this Report on Form 6-K.
