EXPLANATORY NOTE

This Amendment No. 1 on Form 6-K/A (this “Amendment”) amends the Form 6-K filed with the Securities and Exchange Commission on October 11, 2023 by Locafy Limited. This Amendment is being submitted solely to correct certain clerical errors in the consolidated statements of cash flows for the 3 months to June 20, 2023 (unaudited), which were reported as a loss instead of a profit. The corrected press release is attached hereto as Exhibit 99.1.
