Item 1. Description of Registrant’s Securities to be Registered.

The securities to be registered hereby are the ordinary shares, par value $0.0001 per share (“Ordinary Shares”) of PropertyGuru Group Limited (the “Registrant”). The description of the ordinary shares set forth under the caption “Description of PubCo Securities” in the proxy statement/prospectus forming a part of the Registration Statement on Form F-4, as initially filed with the Securities and Exchange Commission on December 7, 2021 (Registration No. 333-261517), as amended, including any form of prospectus contained therein pursuant to Rule 424(b) under the Securities Act of 1933, as amended, (the “Registration Statement”) to which this Form 8-A relates is incorporated herein by reference. Any form of prospectus or prospectus supplement to the Registration Statement that includes such descriptions and that are subsequently filed are hereby also incorporated by reference herein.

The Ordinary Shares to be registered hereby have been approved for listing on the New York Stock Exchange under the symbol “PGRU.”
