Anghami Inc. (the “Company”) will send or give to all participants in The Anghami Inc. The Company’s Charter provides for indemnification of its officers and directors to the fullest extent permitted by law, including for any liability incurred in their capacities as such, except through their own actual fraud, willful default or willful neglect. The Company has maintained insurance on behalf of its directors and executive officers. The Company has entered into contracts with certain of its directors and executive officers providing indemnification of such directors and executive officers by the Company to the fullest extent permitted by law, subject to certain limited exceptions.
Insofar as indemnification for liabilities arising under the Securities Act may be permitted to directors, officers or persons controlling the Company pursuant to the foregoing provisions, the Company has been informed that in the opinion of the SEC such indemnification is against public policy as expressed in the Securities Act and is theretofore unenforceable.
