Item 7.01 Regulation FD Disclosure.

 

On May 27, 2022, Aesther Healthcare Acquisition Corp., a Delaware corporation (the “Company”), issued a press release announcing that it entered into an Agreement and Plan of Merger (the “Merger Agreement”) with AHAC Merger Sub Inc., a Delaware corporation and a wholly-owned subsidiary of the Company (“Merger Sub”), United Gear & Assembly, Inc., a Delaware corporation (“United”), Aesther Healthcare Sponsor, LLC, a Delaware limited liability company, in the capacity as the representative for certain stockholders of the Company, and United Stars Holdings, Inc., a Delaware corporation and the sole stockholder of United. Pursuant to the Merger Agreement, and subject to the terms and conditions set forth therein, upon the consummation of the transactions contemplated thereby (the “Closing”), Merger Sub will merge with and into United, with United surviving as a wholly-owned subsidiary of the Company (the “Business Combination”). A copy of the press release is furnished hereto as Exhibit 99.1 and is incorporated herein by reference.
