Item 8.01.

Other Events.

On January 10, 2023, Berenson Acquisition Corp. I (the “Company”) convened and then adjourned, without conducting any business, the special meeting of stockholders of the Company (the “Special Meeting”), scheduled for 11:00 a.m. Eastern Time on January 10, 2023, to recommence at 12:00 p.m. Eastern Time on February 7, 2023, as a virtual meeting via live webcast at https://www.cstproxy.com/berensonacquisitioncorpi/2022.

The Special Meeting is being held for the purposes of considering and voting on (i) a proposal to amend the Company’s amended and restated certificate of incorporation to (the “Charter Amendment”) to extend the date by which the Company must consummate an initial business combination from March 30, 2023 to September 30, 2023 or such earlier date as determined by the Company’s board of directors (the “Extended Date” and the “Extension”) and (ii) a proposal to amend the Trust Agreement to provide for the Extension to the Extended Date pursuant to the Charter Amendment. Each such proposal is described in more detail in the definitive proxy statement related to the Special Meeting filed by the Company with the Securities and Exchange Commission (the “SEC”) on November 21, 2022 (the “Definitive Proxy Statement”).

In light of the adjournment, the Company has extended the deadline for public stockholders to submit their shares for redemption in connection with the Extension to 5:00 p.m. Eastern Time on February 3, 2023. Stockholders who wish to withdraw their previously submitted redemption requests may do so prior to the vote at the Special Meeting by requesting that the Company’s transfer agent, Continental Stock Transfer & Trust Company, return such shares.
