Item 8.01.Other Events.

 

As previously reported, on September 17, 2021, Endurance Acquisition Corp. (the “Company”) consummated its initial public offering (the “IPO”) of 20,000,000 units (the “Units”). The Company also granted the underwriters a 45-day over-allotment option to purchase up to 3,000,000 additional Units (the “Over-allotment Units”) at the initial public offering price. Each Unit consists of one Class A ordinary share, par value $0.0001 per share, of the Company (the “Class A Ordinary Shares”), and one-half of one redeemable warrant of the Company, with each whole warrant entitling the holder thereof to purchase one whole Class A Ordinary Share at a price of $11.50 per share, subject to certain adjustments. The Units were sold at a price of $10.00 per Unit, generating gross proceeds to the Company of $200,000,000.

 

On September 17, 2021, simultaneously with the closing of the IPO, the Company completed the private sale (the “Private Placement”) of an aggregate of 7,630,000 warrants (the “Private Placement Warrants”) at a purchase price of $1.00 per Private Placement Warrant, to the Company’s sponsor, Endurance Antarctica Partners, LLC (the “Sponsor”), which purchased 6,630,000 Private Placement Warrants, and Cantor Fitzgerald & Co., the representative of the underwriters, which purchased 1,000,000 Private Placement Warrants, generating gross proceeds to the Company of $7,630,000 in the aggregate. The Sponsor will purchase up to an additional 600,000 Private Placement Warrants (the “Additional Private Placement Warrants”) if the underwriters’ over-allotment option is exercised. The Private Placement Warrants were issued in transactions exempt from the registration requirements of the Securities Act of 1933, as amended (the “Act”), in reliance on Section 4(a)(2) and Rule 506(b) of Regulation D under the Act.

 

A total of $201,000,000, comprised of (i) $194,370,000 of the net proceeds from the IPO, including $9,000,000 of the underwriters’ deferred discount, and (ii) $6,630,000 of the net proceeds of the sale of the Private Placement Warrants, were placed in a U.S.-based trust account at Citibank, N.A. maintained by Continental Stock Transfer & Trust Company, acting as trustee. An audited balance sheet as of September 17, 2021 reflecting receipt of the net proceeds upon consummation of the IPO and the Private Placement (excluding the Over-allotment Units and the Additional Private Placement Warrants) has been issued by the Company and is included as Exhibit 99.1 to this Current Report on Form 8-K.
