Item 8.01. Other Events.

 

On September 14, 2021, the Registration Statement on Form S-1 (File No. 333-259098) (the “Registration Statement”) relating to the initial public offering (the “IPO”) of Endurance Acquisition Corp. (the “Company”) was declared effective by the U.S. Securities and Exchange Commission. On September 17, 2021, the Company consummated the IPO of 20,000,000 units (the “Units”). The Company also granted the underwriters a 45-day over-allotment option to purchase up to 3,000,000 additional Units at the initial public offering price. Each Unit consists of one Class A ordinary share, par value $0.0001 per share, of the Company (the “Class A Ordinary Shares”), and one-half of one redeemable warrant of the Company, with each whole warrant entitling the holder thereof to purchase one whole Class A Ordinary Share at a price of $11.50 per share, subject to adjustment as provided in the prospectus included in the Registration Statement. The Units were sold at a price of $10.00 per unit, generating gross proceeds to the Company of $200 million.

 

On September 17, 2021, simultaneously with the closing of the IPO, the Company completed the private sale of an aggregate of 7,630,000 warrants (the “Private Placement Warrants”) at a purchase price of $1.00 per Private Placement Warrant, to the Company’s sponsor, Endurance Antarctica Partners, LLC (the “Sponsor”), which purchased 6,630,000 Private Placement Warrants, and Cantor Fitzgerald & Co., the representative of the underwriters, which purchased 1,000,000 Private Placement Warrants, generating gross proceeds to the Company of $7,630,000 in the aggregate. The Private Placement Warrants are identical to the warrants sold as part of the Units in the IPO, except that, so long as they are held by the Sponsor or its permitted transferees: (1) they will not be redeemable by the Company (except in certain redemption scenarios when the price per Class A Ordinary Share equals or exceeds $10.00 (as adjusted)); (2) they (including the Class A Ordinary Shares issuable upon exercise of Private Placement Warrants) may not, subject to certain limited exceptions, be transferred, assigned or sold by the Sponsor until 30 days after the completion of the Company’s initial business combination; (3) they may be exercised by the holders on a cashless basis; and (4) they (including the Class A Ordinary Shares issuable upon exercise of the Private Placement Warrants) are entitled to registration rights. The Sponsor will purchase up to an additional 600,000 Private Placement Warrants if the underwriters’ over-allotment option is exercised. The Private Placement Warrants will be issued in transactions exempt from the registration requirements of the Securities Act of 1933, as amended (the “Act”), in reliance on Section 4(a)(2) and Rule 506(b) of Regulation D under the Act.

 

A total of $201,000,000, comprised of the net proceeds of the IPO and the sale of the Private Placement Warrants, was placed in a U.S.-based trust account at Citibank, N.A. maintained by Continental Stock Transfer & Trust Company, acting as trustee. Except with respect to interest earned on the funds held in the trust account that may be released to the Company to pay the Company’s taxes, if any, the funds held in the trust account will not be released from the trust account until the earliest to occur of: (1) the completion of the Company’s initial business combination; (2) the redemption of any public shares properly tendered in connection with a shareholder vote to amend the Company's amended and restated memorandum and articles of association (A) to modify the substance or timing of the Company’s obligation to allow redemption in connection with its initial business combination or to redeem 100% of its public shares if the Company does not complete its initial business combination within 18 months from the closing of the IPO or (B) with respect to any other provision relating to shareholders’ rights or pre-initial business combination activity; and (3) the redemption of the Company’s public shares if the Company has not completed its initial business combination within 18 months from the closing of the IPO, subject to applicable law.

 

In connection with the IPO, the Company filed its previously approved Amended and Restated Memorandum and Articles of Association, adopted on September 14, 2021, with the Registrar of Companies in the Cayman Islands. In connection with the IPO, the Company entered into the following agreements, the forms of which were previously filed as exhibits to the Registration Statement:

 

  · An Underwriting Agreement, dated September 14, 2021, between the Company and Cantor Fitzgerald & Co., the representative of the several underwriters.

 

  · A Warrant Agreement, dated September 14, 2021, between the Company and Continental Stock Transfer & Trust Company, as warrant agent.
