On July 12, 2022, the reporting person transferred an employee stock option to purchase 140,000 shares of common stock of the Company to a grantor retained annuity trust of which the reporting person is trustee. The reporting person and members of his immediate family are the sole beneficiaries of the trust. The remaining shares underlying this option, which was granted on February 12, 2021, vest in equal monthly installments until February 1, 2025.
