Item 7.01. Regulation FD Disclosure.

 

On December 16, 2021, Founder SPAC (the "Company") issued a press release announcing the execution of the Agreement and Plan of Merger with Rubicon Technologies, LLC and the other parties thereto (as it may be amended, supplemented or otherwise modified from time to time, the “Merger Agreement”) on December 15, 2021 and announcing that the Company and Rubicon Technologies, LLC will hold a conference call on December 16, 2021 at 8:30 a.m. Eastern Time (the “Conference Call”). A copy of the press release, which includes information regarding participation in the Conference Call and a telephone replay, is attached hereto as Exhibit 99.1 and incorporated herein by reference. The script that the Company and Rubicon Technologies, LLC used for the Conference Call is attached hereto as Exhibit 99.2 and incorporated herein by reference.  Upon the terms and subject to the conditions of the Merger Agreement, and in accordance with applicable law, Merger Sub LLC will merge with and into Rubicon Technologies, LLC, with Rubicon Technologies, LLC surviving the merger as a wholly owned subsidiary of the Company (the “Business Combination”).

 

Attached as Exhibit 99.3 hereto and incorporated by reference herein is the Company’s presentation to certain persons interested in purchasing securities in the post-closing company in connection with the transactions described in the Merger Agreement.
