Each restricted stock unit (RSU) represents the contingent right to receive, upon vesting of the RSU, one share of the Issuer's common stock.
Restricted stock units award granted on March 20, 2023, which generally vests 25% on each of May 20, 2024, May 20, 2025, May 20, 2026 and May 20, 2027, subject to continued employment through the vesting date.
Each performance-based restricted stock unit ("PSU") represents the contingent right to receive, upon vesting of the PSU, one share of the Issuer's common stock, if "target" total stockholder return metrics are achieved.
Performance-based restricted stock units award granted on March 20,2023, which generally vests on March 20, 2026, based on the attainment of absolute total stockholder return ("TSR") metrics by the Company over a three year performance period and subject to continued employment through the vesting date. Performance-based restricted stock units vesting is subject to attainment of TSR between 75% and 125% of the "target" performance level (the number of units listed herein). If TSR is less than 75%, then all of the performance-based restricted stock units will lapse without further consideration.
