DP Cap Acquisition Corp I (the “Company”) is filing this Notification of Late Filing on Form 12b-25 (this “Form 12b-25”) with respect to its Annual Report on Form 10-K for the fiscal year ended December 31, 2021 (the “Annual Report”). The Company has determined that it is unable to file the Annual Report within the prescribed time period without unreasonable effort or expense because the Company’s independent registered public accounting firm is in the process of completing the review of the financial statements for the year ended December 31, 2021 and will need additional time to complete its review of such financial statements.  The Company anticipates that it will file the Annual Reporton or before the fifteenth calendar day following the prescribed due date.
