EXPLANATORY NOTE

This Amendment No. 1 to the Quarterly Report on Form 10-Q (the “Form 10-Q”) for the quarter ended March 31, 2024 is being filed solely to correct the number of outstanding Class A ordinary shares reported on the cover page hereof. No other change has been made to the Form 10-Q.

We are not currently a party to any material litigation or legal proceedings that, in the opinion of our management, are likely to have a material adverse effect on our business. Regardless of outcome, litigation can have an adverse impact on us because of defense and settlement costs, diversion of management resources, negative publicity, reputational harm and other factors.
