Other Events.

On May 31, 2022, Gesher I Acquisition Corp., a Cayman Islands exempted company limited by shares, (“Gesher”), and Freightos Limited, a Cayman Islands exempted company limited by shares (“Freightos”), issued a joint press release announcing the execution of a definitive Business Combination Agreement (the “Business Combination Agreement”), among Gesher, Freightos, Freightos Merger Sub I, a Cayman Islands company and a wholly-owned subsidiary of Freightos, and Freightos Merger Sub II, a Cayman Islands company and a wholly-owned subsidiary of Freightos. A copy of the press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated by reference herein.

Gesher and Freightos also prepared an investor presentation (the “Investor Presentation”) in connection with the entry into the Business Combination Agreement, a copy of which is furnished as Exhibit 99.2 to this Current Report on Form 8-K and is incorporated by reference herein. Furnished as Exhibit 99.3 is a transcript of the related videos embedded in the Investor Presentation.
