Explanation of Responses:

1. Includes (i) up to 375,000 ordinary shares that may be forfeited if the underwriters in the Issuer's initial public offering do not exercise the overallotment option in full and (ii) up to 100,000 ordinary shares that Gesher I Sponsor LLC ("Sponsor") may transfer to one of the members of Sponsor or a third party upon consummation of the Issuer's initial business combination.

2. The securities are owned directly by Sponsor, a ten percent owner of the Issuer, and indirectly by Sponsor's managing members, Ezra Gardner, a Director of the Issuer and its Chief Executive Officer, and Omri Cherni, a Director of the Issuer and its Chief Operating Officer.

3. Includes warrants which, prior to the effective date of the registration statement relating to the Issuer's initial public offering, Sponsor irrevocably committed to purchase. Does not include 400,549 warrants Sponsor irrevocably committed to purchase in the event the underwriters in the Issuer's initial public offering exercise the overallotment option in full.

4. Each warrant will become exercisable 30 days after the completion of an initial business combination by the Issuer.

5. Each warrant will expire five years after the completion of an initial business combination by the Issuer.
