Item 1.01.

Entry into a Material Definitive Agreement.

On September 8, 2022, Digital World Acquisition Corp., a Delaware corporation (“Digital World” or the “Company”), issued a promissory note (the “Note”) in the aggregate principal amount of $2,875,000 to ARC Global Investments II LLC, the sponsor of the Company (the “Sponsor”), in connection with the extension of the termination date for the Company’s initial business combination (the “Initial Business Combination”) from September 8, 2022 to December 8, 2022.

Pursuant to the Note, the Sponsor has agreed to loan to the Company $2,875,000 to deposit into the Company’s trust account. The Note bears no interest and is repayable in full upon the earlier of (i) the date on which the Company consummates its Initial Business Combination and (ii) the date that the winding up of the Company is effective. At the election of the Sponsor and subject to certain conditions, all of the unpaid principal amount of the Note may be converted into units of the Company (the “Conversion Units”) upon consummation of the Initial Business Combination with the total Conversion Units so issued shall be equal to: (x) the portion of the principal amount of the Note being converted divided by (y) the conversion price of ten dollars ($10.00), rounded up to the nearest whole number of units.

The issuance of the Note was made pursuant to the exemption from registration contained in Section 4(a)(2) of the Securities Act of 1933, as amended.

Item 8.01

Other Events.

On September 8, 2022, the Company issued a press release announcing that the special meeting of its stockholders (the “Special Meeting”), originally scheduled for September 6, 2022 and adjourned to September 8, 2022, is being further adjourned to October 10, 2022. At the Special Meeting, Digital World stockholders will be asked for approval to further amend the Company’s amended and restated certificate of incorporation (the “Extension Amendment”) to extend the period of time for completing an Initial Business Combination up to four times, each by an additional three months, for an aggregate of 12 additional months (or until September 8, 2023) or such earlier date as determined by the Company’s Board of Directors. The amendment would effectively provide for an additional six months, past the two three-month extensions permitted by the Company’s existing governing documents, to complete an Initial Business Combination.

As a result of this change, the Special Meeting will now be held at 12:00 p.m., Eastern Time, on October 10, 2022, exclusively via a live audio webcast at https://www.cstproxy.com/dwacspac/ext2022. Also as a result of this change, the date and time by which stockholders seeking to exercise redemption rights must tender their public shares physically or electronically and submit a request in writing that the Company redeem their public shares for cash to the Company’s transfer agent, Continental Stock Transfer & Trust Company, is being extended to 5:00 p.m., Eastern Time, on October 7, 2022.


The Company plans to continue to solicit proxies from stockholders during the period prior to the October 10, 2022 Special Meeting date. Only the holders of Digital World’s common stock as of the close of business on August 12, 2022, the record date for the Special Meeting, are entitled to vote at the Special Meeting.
