Explanatory Note

On November 22, 2023, the Company issued an announcement titled “Tremor International Reports Results for the Three and Nine Months Ended September 30, 2023” pursuant to the AIM Market Rules, a copy of which is attached as Exhibit 99.1 to this Form 6-K.
